SEC Closes Investigation into Uniswap Labs

The U.S. Securities and Exchange Commission (SEC) has officially concluded its investigation into Uniswap Labs, the innovative company based in Brooklyn that operates the decentralized trading protocol known as Uniswap. This announcement was made public on Tuesday, marking a significant milestone for the company and the broader decentralized finance (DeFi) ecosystem.

Last April, Uniswap Labs received a Wells notice from the SEC, which serves as a preliminary warning indicating the regulatory body’s intent to bring charges. The notice accused the decentralized exchange of functioning as an unregistered broker and securities exchange, along with allegations of issuing an unregistered security. In response, Uniswap and its leadership took to social media and published blog posts to advocate for the legality of their operations, vowing to contest the impending charges vigorously.

In light of the SEC’s recent decision to drop the investigation, Uniswap Labs celebrated this outcome, describing it as a “huge win for DeFi”. In a statement shared via social media, the company expressed appreciation for the SEC’s new leadership, emphasizing their commitment to reassessing enforcement actions throughout the industry. “We recognize that there is a more effective path to protecting American consumers. The conclusion of our investigation is not only a welcome and just relief for Uniswap Labs but also for the wider DeFi community of builders, users, and developers striving to create a more equitable financial system for everyone,” the company stated in their blog.

Amanda Tuminelli, the chief legal officer at the DeFi Education Fund, commented on the SEC’s decision, stating that it provides DeFi companies with greater assurance to transition from a defensive posture to actively embracing their right to develop decentralized technologies. This shift in regulatory stance is seen as a positive development for the entire sector.

The SEC’s decision to close its investigation into Uniswap Labs is part of a broader trend, as the agency has recently dropped investigations into several other crypto entities, including Robinhood Crypto and the non-fungible token (NFT) marketplace OpenSea. Furthermore, the SEC is reportedly close to dropping its case against Coinbase, pending final approval from the agency’s commissioners.

Currently, the SEC is undergoing a significant transformation in its approach to cryptocurrency regulation. The previous chairman, Gary Gensler, who was known for a stringent “regulation-by-enforcement” approach, stepped down in January. His successor, Acting Chairman Mark Uyeda, has implemented notable changes within the agency, including the establishment of a new Crypto Task Force led by the crypto-friendly Commissioner Hester Peirce, as well as the disbandment of the Crypto enforcement unit. These changes signal a potentially more favorable regulatory environment for crypto companies operating in the United States.

A representative for the SEC declined to provide further comments on this matter.
